By accessing or using NumaClaw ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
NumaClaw provides a platform for deploying and managing AI agents and autonomous AI companies on dedicated cloud servers. Each subscription provisions one dedicated server instance, configured with the agents and/or companies you select and reachable at its own subdomain. Provisioning typically completes within about a minute of checkout. You are responsible for the API keys, credentials, and configurations you provide (including any Anthropic/Claude Code authorization you connect), and for any costs incurred by third-party services you connect to your instance. NumaClaw is not the developer of the underlying AI models your agents use and is not responsible for their output.
You must provide accurate and complete information when creating an account, whether by email/password or by signing in with Google. You are responsible for maintaining the security of your account credentials and any SSH or admin credentials generated for your instance. You agree to notify us immediately of any unauthorized access to your account or instance.
Subscriptions are billed in advance on a monthly or annual basis via our third-party payment processor. All fees are non-refundable except where required by law. You may cancel at any time; your subscription and instance stay active until the end of the current billing period and are not renewed thereafter. We reserve the right to change pricing with 30 days' notice. Promo codes and referral credits are applied at our discretion and have no cash value.
If you participate in our referral program, rewards (such as account credits or discounts) are subject to the reward structure in effect at the time of referral, may be subject to a holding period before clearing, and may be modified or discontinued at any time. We reserve the right to withhold or reverse referral rewards obtained through fraudulent, abusive, or self-referral activity.
You agree not to use the Service to: • Violate any applicable laws or regulations • Send spam, malware, or engage in phishing • Infringe on intellectual property rights • Attempt to gain unauthorized access to other systems, including other users' instances • Use the Service to harm, harass, or defraud others • Deploy agents or companies that generate illegal content, or that circumvent the usage policies of the underlying AI model provider • Use the underlying server resources for purposes unrelated to operating your deployed agents (e.g. unrelated compute, mining, or hosting) We reserve the right to suspend or terminate accounts, and to deprovision the associated server instance, for violations of these terms.
You retain ownership of the API keys, configurations, agent outputs, and data you provide or generate through the Service. By using the Service, you grant us a limited license to store and process your data solely to provide the Service (including provisioning, monitoring, and support). We will not access your instance's configuration, terminal, or data except as needed to operate the Service, for security purposes, or for support with your consent.
We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where practical. We are not liable for downtime caused by third-party providers (including cloud infrastructure, DNS, payment, or AI model providers), force majeure events, or factors outside our control.
Either party may terminate a subscription at any time. Upon termination, your instance will continue running until the end of the current billing period, after which it is deprovisioned and its data deleted per our Privacy Policy. We may suspend or terminate accounts and instances immediately, without refund, for violations of these terms.
To the maximum extent permitted by law, NumaClaw is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including actions taken by AI agents you deploy or configure. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
We may update these Terms from time to time. We will notify you of material changes via email or platform notice. Continued use after changes constitutes acceptance.
